01Agreement
These terms govern your access to and use of medisys-x.tech, the AI Lab demonstration, the hospital simulator and the Medisys-X client portal (together, the “Service”). By using the Service, you agree to these terms. If you do not agree, do not use the Service.
If you use the Service for a hospital or another organisation, you confirm that you have authority to bind that organisation, and “you” includes it.
02Who we are
The Service is operated by [legal entity name], a company registered in [governing jurisdiction] with its registered office at [registered office address].
03The service
The public website describes the Medisys-X platform. The client portal is a workspace for hospital teams and our implementation team to track rollout phases, raise and discuss requests, share documents and record decisions.
We may add, change or remove features as the Service develops. We will not materially reduce the core functionality of a paid workspace during its subscription term without reasonable notice.
04Demos and evaluations
The marketing pages, AI Lab and hospital simulator are demonstrations. Names, dashboards, figures, patients and results shown there are illustrative and may not reflect a real hospital. Nothing on those pages is medical advice, a clinical claim or a promise that a feature will perform in a particular way.
A demo, trial or evaluation is provided for assessment only. It does not create a production commitment, a service level or an obligation to buy, unless we agree otherwise in writing.
05Accounts and security
- Accounts are for named individuals. Do not share credentials or let anyone else use your account.
- You must give accurate account details and keep them up to date.
- You are responsible for activity under your account until you tell us it has been compromised.
- Hospital administrators control invitations and roles for their workspace and must remove access when someone leaves.
- Tell us promptly at hello@medisys-x.tech if you suspect unauthorised access, and change your password immediately.
We may suspend an account or session to protect the Service, other customers or the integrity of the data, and will explain why where we lawfully can.
06Acceptable use
You must not use the Service to:
- store or transmit patient data, health records or other special-category data;
- break the law, infringe anyone’s rights, or send unlawful, defamatory or harmful material;
- upload malware, probe or scan the Service, bypass rate limits or access controls, or interfere with its operation;
- scrape, crawl or bulk-extract data, or reverse engineer the Service except where the law expressly permits it;
- impersonate someone else, misrepresent your affiliation, or send spam through the demo form;
- upload files you do not have the right to share; or
- use the Service to build or train a competing product, or resell it without our written permission.
We may remove content or suspend access that we reasonably believe breaches these rules, and may report serious abuse to the relevant authorities.
07Customer content
You keep ownership of the requests, comments, documents and other material you put into the portal (“Customer Content”). You grant us a limited, non-exclusive licence to host, copy, transmit, back up, display and process Customer Content only to provide, secure and support the Service, and to comply with the law.
You are responsible for Customer Content: that you have the rights to share it, that it is accurate, and that you have given any notices and obtained any consents the law requires. You must not put patient data in it.
We may remove Customer Content that breaches these terms or the law, or that creates a security or legal risk. Where practicable, we will tell you first.
08Intellectual property
The Service, including its software, design, text, graphics, logos and the Medisys-X name and marks, is owned by us or our licensors and is protected by intellectual-property law. We grant you a limited, revocable, non-transferable right to use the Service for your organisation’s internal business during your access period.
You may not copy, modify, distribute, sell, sublicense or create derivative works from the Service except as these terms or the law allow. All rights not expressly granted are reserved.
09Availability and changes
We work to keep the Service available, but it is provided on an “as available” basis. We may suspend it for maintenance, security work, upgrades or events outside our reasonable control. Unless an order form or separate written agreement says otherwise, we do not promise a particular uptime or response time.
We may change, deprecate or withdraw features. For a paid workspace, we will give reasonable notice of a material adverse change and, where practical, a migration path.
10Fees
Access to the public website, the AI Lab and the demonstration portal is free. Paid subscriptions, implementation work and support are governed by your order form or a separate written agreement. Unless that document says otherwise, fees are exclusive of taxes, are payable in the currency stated, and are non-refundable except where the law requires a refund.
If you do not have an order form or written agreement with us, you have no right to a paid subscription and no fees are due for using the demonstration.
11Clinical safety and disclaimers
To the fullest extent permitted by law, the Service is provided without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement. We do not warrant that the Service will be uninterrupted, error-free or free of harmful components, or that any data will be accurate or complete.
Nothing in these terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that mandatory law protects.
12Limitation of liability
To the fullest extent permitted by law, we are not liable for indirect, incidental, special, consequential or punitive loss, or for loss of profit, revenue, business, goodwill, anticipated savings or data, even if we were told such loss was possible.
Our total aggregate liability arising out of or in connection with the Service or these terms will not exceed the total fees you paid us for the Service in the 12 months before the event giving rise to the claim. Where the Service was provided free of charge, our total aggregate liability will not exceed the amount required by applicable mandatory law.
These limits apply however the liability arises, whether in contract, tort (including negligence), breach of statutory duty or otherwise, and they survive termination.
13Indemnity
To the extent permitted by law, you will indemnify us against claims, losses and reasonable costs arising from Customer Content, your breach of these terms, or your misuse of the Service. We will tell you promptly about a claim, let you control the defence where appropriate, and co-operate reasonably. You may not settle a claim in a way that admits fault by us without our written consent.
14Term and termination
These terms apply for as long as you use the Service. You may stop using it at any time. A hospital administrator may ask us to close the workspace.
We may suspend or end your access if you materially breach these terms, if we are required to by law, or if your use creates a security, legal or operational risk for us or others. Where practicable, we will give notice and a chance to put things right.
On termination, your right to use the Service ends. We will handle Customer Content under the Privacy Policy and our retention schedule. If you need a copy of your data before closure, contact us before the workspace is closed; the portal does not promise a self-service export.
Sections that by their nature should survive termination, including intellectual property, disclaimers, liability, indemnity and governing law, will survive.
15Governing law and disputes
These terms are governed by the laws of [governing jurisdiction], without regard to conflict-of-law rules. The courts of [governing jurisdiction] have exclusive jurisdiction over disputes, except where mandatory law gives you the right to go to another court.
Before starting a claim, please email hello@medisys-x.tech with the details so we can try to resolve it informally within 30 days. This does not prevent either side from seeking urgent relief to protect its rights or data.
16Changes to these terms
We may update these terms from time to time. The current version is always on this page, with the effective date above. If a change is material, we will give notice by email or in the portal before it takes effect. If you continue to use the Service after the effective date, you accept the updated terms. If you do not agree, stop using the Service and contact us.
17General
- Entire agreement. These terms, the Privacy Policy and any order form or written agreement are the whole agreement between us on this subject.
- Severability. If a provision is found unenforceable, the rest stays in force and the unenforceable part is read down as far as possible.
- No waiver. A delay or failure to enforce a right is not a waiver of it.
- Assignment. You may not assign these terms without our written consent. We may assign them to an affiliate or in a reorganisation, provided your rights are not reduced.
- Third-party rights. No one other than the parties may enforce these terms, unless the law says otherwise.
- Force majeure. Neither side is liable for a delay caused by an event beyond its reasonable control, except for payment obligations.
